1. Agreement and Electronic Acceptance

These Service Terms form a binding agreement between Lifestyle55+ Network Inc., operating as AI WebVoice Canada, and the subscribing business identified through the payment, onboarding or service documentation.

"AI WebVoice Canada," "we," "us" and "our" refer to Lifestyle55+ Network Inc. "Client," "you" and "your" refer to the subscribing business.

By selecting the acceptance checkbox, selecting "Start My Subscription" and completing payment, the Client confirms that:

  • The Client has reviewed and accepts these Service Terms.
  • The Client has reviewed the AI WebVoice Canada Privacy Policy.
  • The person completing the transaction has authority to bind the business.
  • The service is being purchased for a business or commercial purpose.
  • The Client authorizes recurring monthly charges until cancellation.

2. Business Use Only

The service is offered for business and commercial use. It is not offered for personal, family or household use.

The Client represents that it is purchasing the service for a lawful business purpose.

3. Related Service Agreement

Following subscription, AI WebVoice Canada may provide an order form, onboarding confirmation, service agreement or other written documentation.

Those documents form part of the agreement between the parties.

Where a subsequently signed service agreement expressly conflicts with these online Service Terms, the signed service agreement will prevail to the extent of the conflict.

4. Service Description

AI WebVoice Canada provides a managed voice and text assistant for installation on an existing business website.

Depending on the approved configuration, the assistant may:

  • Answer visitor questions
  • Guide visitors to relevant website information
  • Recommend or navigate to website pages
  • Ask approved lead-generation questions
  • Capture contact information and inquiry details
  • Direct visitors toward a call, quote, appointment, tour, booking, purchase or inquiry
  • Generate conversation transcripts
  • Provide insight into visitor questions and website-content gaps

The service supports the Client's staff. It does not replace professional judgment, sales responsibilities or customer-service personnel.

5. Introductory Monthly Package

The introductory package is $169 CAD per month, plus applicable tax.

The package includes:

  • One website voice and text assistant
  • Up to 500 conversation minutes per monthly billing period
  • Initial website-content review
  • Custom configuration
  • Conversation and lead-capture instructions
  • Voice and language configuration, subject to availability
  • Testing before launch
  • Website installation guidance
  • Launch support
  • Conversation history and visitor-question insight, subject to service availability

Any service not expressly included may require a separate quotation.

6. Setup and Onboarding

Setup begins after:

  • The initial payment has been completed
  • Required onboarding information has been received
  • The Client has provided access, content and cooperation reasonably required for configuration

The Client must provide accurate and timely information.

Delays caused by missing information, unavailable website access, third-party developers or delayed approvals do not create an entitlement to a refund.

AI WebVoice Canada may rely on information supplied by the Client and content published on the Client's website.

7. Website Installation

The assistant is generally installed through a website code snippet or another supported installation method.

The Client is responsible for:

  • Having authority to modify the website
  • Providing access to an authorized website administrator or developer
  • Maintaining the website, domain and hosting
  • Ensuring installation does not breach another agreement
  • Maintaining appropriate website backups
  • Reviewing the assistant after installation

AI WebVoice Canada is not responsible for unrelated website defects, theme conflicts, third-party code, hosting failures or changes made by others.

8. Conversation Minutes

A conversation minute is usage generated while a website visitor interacts with the assistant, as measured by the service infrastructure.

The monthly package includes 500 conversation minutes.

Unused minutes do not roll forward into another billing period and have no cash value.

As usage approaches the monthly allowance, AI WebVoice Canada may notify the Client.

AI WebVoice Canada does not impose automatic surprise overage charges. Additional usage requires the Client's approval and may be purchased at the rate quoted at that time.

If the included allowance is exhausted, AI WebVoice Canada may:

  • Pause the assistant
  • Limit further conversation usage
  • Offer an additional-minute package
  • Recommend a different service level

Usage measurement generated by the service infrastructure will govern unless the Client demonstrates a clear measurement error.

9. Billing and Automatic Renewal

The service is billed monthly in advance through PayPal.

The subscription renews automatically until cancelled in accordance with these Terms.

The Client authorizes recurring charges for:

  • The monthly service fee
  • Applicable taxes
  • Separately approved usage or services
  • Applicable payment, administration or reinstatement fees

PayPal's own agreements and privacy practices apply to the payment service it provides.

10. Cancellation

The Client may cancel by providing at least 30 days' written notice to:

Payments or renewals falling due during the 30-day notice period remain payable.

The service may continue through the applicable paid period or notice period, subject to the account remaining in good standing.

The Client may also be required to cancel or confirm cancellation of its PayPal payment authorization.

11. Refunds

Except where required by law:

  • Monthly fees are non-refundable.
  • No prorated refund is provided for a partial month.
  • No refund is available after setup or configuration work begins.
  • Unused conversation minutes have no cash value.
  • A delay caused by the Client does not create a refund entitlement.
  • Cancellation stops future service only after the required notice period.

Any discretionary refund must be approved in writing by Lifestyle55+ Network Inc.

12. Failed Payments and Reinstatement

If a payment fails, AI WebVoice Canada may suspend the assistant or related services immediately.

The Client has three calendar days to bring the account current.

A $50 failed-payment administration fee may be charged where permitted by law.

If payment remains outstanding for more than three calendar days, AI WebVoice Canada may:

  • Terminate the account
  • Disable the assistant
  • Delete assistant configuration
  • Delete conversation transcripts
  • Delete captured lead information
  • Delete related operational service data

Restoring service after termination will be treated as a new onboarding.

Before reinstatement or new onboarding begins, the Client must pay:

  • All outstanding service fees
  • Applicable taxes
  • Any applicable $50 administration fee
  • A $200 setup and reinstatement fee

Deletion of operational data does not require deletion of payment, tax, accounting, contractual or legal records that must be retained by law.

13. Client Content and Limited Licence

The Client retains ownership of its website content, brand assets and business information.

The Client grants AI WebVoice Canada and its service providers a limited, non-exclusive right to access, copy, index, convert, host, process, transmit and technically analyze the Client's content as reasonably required to provide the service.

The Client represents that it has the right to provide all content, instructions and information supplied to AI WebVoice Canada.

14. Client Responsibilities

The Client is responsible for:

  • The accuracy and legality of its website content
  • Reviewing assistant responses
  • Approving instructions and lead-generation questions
  • Correcting inaccurate or outdated information
  • Maintaining appropriate website privacy notices
  • Obtaining visitor consent where required
  • Responding to visitor inquiries and leads
  • Protecting account credentials
  • Complying with advertising, consumer and industry rules
  • Ensuring that the assistant is not used to provide unauthorized regulated advice
  • Exporting records the Client wishes to retain before cancellation

The Client must promptly notify AI WebVoice Canada of material errors, unauthorized use or security concerns.

15. Artificial-Intelligence Limitations

The Client acknowledges that artificial-intelligence systems may:

  • Misinterpret a question
  • Produce an incomplete or inaccurate answer
  • Fail to locate relevant information
  • Respond differently to similar questions
  • Experience delays or service interruptions

AI WebVoice Canada does not guarantee that every response will be accurate, complete, current or suitable for every visitor.

The Client remains responsible for reviewing the assistant's behaviour and requesting corrections.

16. No Professional Advice

Unless separately authorized, reviewed and appropriately configured, the assistant must not be relied upon to provide:

  • Legal advice
  • Medical or clinical advice
  • Financial or investment advice
  • Tax advice
  • Emergency instructions
  • Other regulated professional advice

The assistant may provide general website information and direct a visitor to an appropriately qualified person.

17. No Guarantee of Business Results

AI WebVoice Canada does not guarantee:

  • A particular number of leads
  • Increased revenue or conversion rates
  • Search-engine rankings
  • Website traffic
  • Sales, appointments, bookings, tours or purchases
  • Visitor satisfaction

Results depend on factors outside our control, including traffic, business reputation, pricing, demand, website content and the Client's follow-up practices.

18. Acceptable Use

The Client must not use the service to:

  • Break any law
  • Promote fraud, deception or impersonation
  • Deploy the assistant on a website without authorization
  • Collect information for an unlawful or undisclosed purpose
  • Promote hate, harassment, exploitation or violent extremism
  • Distribute malicious code
  • Probe, damage or interfere with service infrastructure
  • Circumvent usage restrictions
  • Reverse-engineer or copy the underlying service
  • Build or train a competing platform
  • Provide regulated advice without appropriate authority
  • Violate another person's privacy, intellectual-property or contractual rights

AI WebVoice Canada may suspend or terminate service for prohibited use.

19. Privacy and Visitor Information

The AI WebVoice Canada Privacy Policy forms part of these Terms.

The Client determines the purposes for which its website assistant collects visitor information and is responsible for:

  • Informing visitors that an AI assistant is in use
  • Providing an appropriate privacy notice
  • Obtaining consent where required
  • Limiting collection to appropriate purposes
  • Responding to access, correction and deletion requests
  • Avoiding unnecessary collection of sensitive information

Information may be processed or stored outside Canada through third-party hosting, voice, artificial-intelligence, storage, email, analytics and security providers.

20. Third-Party Services and Developers

The service depends on third-party providers, developers, software, application programming interfaces, hosting infrastructure, artificial- intelligence models, voice-processing services, data-storage services, email providers, analytics services, security networks, PayPal and the Client's website platform and hosting provider.

Third-party providers or developers may change, restrict, suspend, replace, remove, delete or discontinue features, services, integrations, models, voices, infrastructure or data-handling processes. Those actions may occur with limited or no advance notice and may be outside the control of AI WebVoice Canada or Lifestyle55+ Network Inc.

AI WebVoice Canada does not control every third-party system and is not responsible for independent third-party policies, outages, changes, restrictions, removals, deletions, security incidents or discontinuation.

21. Changes, Suspension, Removal, Discontinuation and Termination

To the maximum extent permitted by law, AI WebVoice Canada and Lifestyle55+ Network Inc. may at any time modify, replace, limit, suspend, remove, discontinue or terminate any feature, integration, service component or the entire service, temporarily or permanently, with or without cause.

Where reasonably practicable, we may provide notice. We are not required to continue any particular feature, provider, model, voice, language, integration or technical method, or to maintain compatibility with every website platform, browser, device or third-party service.

A modification, restriction, suspension, removal, discontinuation or termination may result from a business decision, legal or security concern, third-party provider or developer action, technical limitation, provider pricing change, product change, insolvency, discontinuation of underlying technology or another circumstance within or outside our control.

Except where required by law or expressly agreed in a separate written agreement, the Client is not entitled to compensation, damages, service credits, reimbursement, refund or other payment arising from or relating to a modification, restriction, suspension, removal, discontinuation or termination of the service.

Fees already paid remain non-refundable except where required by law or approved in writing by Lifestyle55+ Network Inc.

22. Service Availability

AI WebVoice Canada will use commercially reasonable efforts to provide the service.

No specific uptime or service-level guarantee applies unless stated in a separate written agreement.

The service may be temporarily or permanently unavailable because of:

  • Maintenance or updates
  • Third-party outages or provider changes
  • Internet, hosting or website failures
  • Security incidents
  • Client website changes
  • Provider restrictions or discontinued technology
  • Events beyond reasonable control

Features, voices, languages, models, integrations and technical methods may change as the service and third-party technologies evolve.

23. Intellectual Property

Lifestyle55+ Network Inc. retains ownership of:

  • The AI WebVoice Canada brand
  • Setup and configuration processes
  • Custom instruction frameworks
  • Documentation and training materials
  • Sales materials
  • Original templates and implementation methods

The underlying software, models and infrastructure remain the property of their respective owners or licensors.

The Client receives a limited, revocable, non-transferable right to use the configured service during an active, fully paid subscription.

The Client may not resell, sublicense, copy or reverse-engineer the service unless authorized in writing.

24. Confidentiality

Each party will use reasonable care to protect non-public business information received from the other party.

Confidential information does not include information that:

  • Is publicly available without breach
  • Was already lawfully known
  • Is independently developed
  • Is lawfully received from another source
  • Must be disclosed by law

AI WebVoice Canada may share information with providers and contractors who require it to deliver the service and are subject to confidentiality obligations.

25. Disclaimer of Warranties

To the maximum extent permitted by law, the service is provided "as is" and "as available."

Lifestyle55+ Network Inc. disclaims warranties not expressly stated in a written agreement, including implied warranties of merchantability, fitness for a particular purpose, accuracy, uninterrupted availability and error-free performance.

26. Limitation of Liability

To the maximum extent permitted by law, Lifestyle55+ Network Inc., AI WebVoice Canada and their directors, officers, employees, contractors and representatives will not be liable for:

  • Lost sales, leads, profits or revenue
  • Lost business opportunities or goodwill
  • Loss or corruption of data
  • Business interruption
  • Incorrect or incomplete AI-generated responses
  • Client website content
  • Visitor decisions or actions
  • Third-party provider or developer acts and omissions
  • Third-party service failures, changes, removals or discontinuation
  • PayPal, hosting or internet interruptions
  • Indirect, special, incidental, consequential, exemplary or punitive damages

The total aggregate liability of Lifestyle55+ Network Inc. and AI WebVoice Canada arising from or relating to the service will not exceed the monthly service fee paid for the one-month billing period immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

27. Client Indemnity

The Client will indemnify and hold harmless Lifestyle55+ Network Inc., AI WebVoice Canada and their directors, officers, employees and contractors from third-party claims, losses, liabilities and reasonable expenses arising from:

  • The Client's website or content
  • Instructions supplied by the Client
  • The Client's unlawful use of the service
  • The Client's breach of these Terms
  • The Client's violation of privacy or consent requirements
  • The Client's violation of another person's rights
  • Unauthorized regulated advice or representations
  • The Client's failure to respond appropriately to a visitor or lead

This obligation does not apply to the extent a claim results directly from the wilful misconduct of Lifestyle55+ Network Inc.

28. Collection and Enforcement Costs

Where the Client fails to pay an amount due or materially breaches the agreement, the Client is responsible for reasonable collection and enforcement costs, including reasonable legal fees, to the extent permitted or awarded by law.

29. Suspension and Termination

In addition to the rights stated elsewhere in these Terms, AI WebVoice Canada and Lifestyle55+ Network Inc. may suspend or terminate the service at any time, including where:

  • Payment is overdue
  • The Client breaches these Terms
  • The Client uses the service unlawfully
  • The Client creates a security, legal or reputational risk
  • A third-party provider or developer changes or discontinues a service
  • The service or relevant technology is modified or discontinued
  • Continuing the service is no longer commercially or technically practical
  • Continuing the service would violate applicable law
  • Lifestyle55+ Network Inc. elects to discontinue the service or business offering

Where reasonably possible, we may provide notice and an opportunity to correct a non-urgent breach. Illegal activity, serious misuse, security threats and failed payments may result in immediate suspension or termination.

Except where required by law or expressly stated in a separate written agreement, termination does not entitle the Client to compensation, damages, credits, reimbursement or a refund.

30. Effect of Termination

When service ends:

  • The Client's right to use the assistant ends.
  • The assistant may be disabled, deleted or removed.
  • The Client must pay all outstanding amounts.
  • The Client should export required records before termination.
  • Operational data may be deleted.
  • A later return may require new onboarding and applicable setup fees.

Provisions concerning payment, intellectual property, confidentiality, privacy, liability, indemnity, enforcement and governing law survive termination where their nature requires it.

31. Changes to the Service or Terms

We may update these Terms to reflect service, technology, security, provider, developer, pricing or legal changes.

Material changes affecting active customers may be communicated within a reasonable period before they take effect, except where an urgent legal, security, technical or third-party change requires faster action or makes advance notice impracticable.

Continued use after the effective date of updated Terms constitutes acceptance of the updated Terms.

32. Governing Law

These Terms and the service are governed by the laws of the Province of Ontario and the applicable federal laws of Canada.

The parties submit to the courts of Ontario for disputes arising from or relating to the service.

33. Electronic Communications and Notices

The Client agrees to receive service-related communications electronically.

Notices to AI WebVoice Canada must be sent to:

Notices to the Client may be sent to the email address associated with the subscription or onboarding record.

An electronic notice is considered received when delivered unless the sender receives an error indicating that delivery failed.

34. Assignment

The Client may not transfer or assign the agreement without written consent from Lifestyle55+ Network Inc.

Lifestyle55+ Network Inc. may assign the agreement in connection with a corporate reorganization, merger, sale or transfer of the AI WebVoice Canada business.

35. Severability and No Waiver

If a provision is found invalid or unenforceable, it will be limited or removed only to the minimum extent necessary. The remaining provisions will continue in effect.

A failure to enforce a provision is not a waiver of the right to enforce it later.

36. Entire Agreement

These Service Terms, the Privacy Policy, subscription information and any later signed service agreement or order form constitute the agreement between the parties concerning the service.

They replace prior discussions or representations concerning the same subject matter.
